Below is a simple summary of the key improvements — there is nothing you need to do, and these updates do not change your pricing or the services we provide.

1. Clearer Structure & Easier to Read

We have reorganised the document to make it easier to follow, grouping related items together (e.g., services, client responsibilities, warranties, termination, hosting, and data protection).
This means the terms are now shorter, clearer and easier to navigate.

2. Updated Definitions & Modern Terminology

We’ve modernised older terminology and added clearer definitions for things like Services, Design Concepts, Deliverables, and Hosting, so there’s no ambiguity about what each term means.

3. Stronger Data Protection & GDPR Alignment

Our Terms now clearly reference our Data Processing Agreement (DPA) and confirm that it takes priority when we process personal data on your behalf.
This ensures full compliance with UK GDPR and gives you greater transparency over how data is handled.

4. Improved Security & Acceptable Use Requirements

We’ve added a short Acceptable Use & Security section that sets out good‑practice expectations, such as keeping login details secure and not installing third‑party scripts without approval.
This protects both your systems and ours from security risks, while keeping requirements reasonable and easy to meet.

5. Clearer Service, Acceptance & Change‑Control Processes

We’ve made approval, revisions, change requests and project control processes much clearer, so everyone knows what to expect when a project evolves or needs adjustments.
This helps reduce misunderstandings and keeps work running smoothly.

6. Updated Intellectual Property Section

We’ve clarified the difference between:
  • Open‑source proteanCMS, which you are free to use under its licence; and
  • Eonic’s proprietary add‑ons and modules, which we license to you as part of our service.
This distinction has always existed, but we’ve now explained it much more clearly.

7. Modernised Hosting & Support SLA (Annex A)

All hosting‑related details are now in a separate annex for easier reference, including uptime commitments, maintenance windows, helpdesk response times and performance monitoring.
This makes operational expectations fully transparent.

8. Clearer Liability, Indemnities & Suspension Rights

We’ve updated our liability section so it is easier to understand and reflects modern UK commercial practice.
There are no material changes to your rights — the updates mainly clarify points that were outdated or overly technical in the previous version.

9. New Version Control & Clear Update Process

We’ve added a version control statement confirming that:
  • updates only apply to new work or renewals unless both sides agree otherwise;
  • historical copies are recorded for traceability.
This adds transparency and ensures you always know which version applies.
